How to use these Terms
These Terms address website visitors, consumers using supported programs, and business Partners. Provisions apply according to the Services you use and the role in which you act. This guide does not narrow any existing obligation or protection.
- All users: review the agreement, platform role, clinical information, acceptable-use rules, communications, privacy, ownership, disclaimers, liability, dispute, and general provisions.
- Consumers: also review Sections 5, 7, 9, and 11, together with the patient terms, price disclosures, recurring-payment authorization, refund and cancellation policy, and clinical consents applicable to your program.
- Partners: also review Sections 4 and 7–11 and the Partner-specific indemnification and termination provisions, together with your Partner agreement, subscription terms, and any incorporated payment and settlement addendum.
Section 1 explains the priority of a more specific written agreement governing a particular Service. Nothing in this guide changes that priority, creates a separate agreement that has not been presented and accepted, or makes an existing provision inapplicable merely because it is not listed above.
Do not use Sinta for a medical emergency. Call 911 or go to the nearest emergency department. The Services are not intended for emergency or urgent medical care or life-threatening situations.
These Terms of Service (“Terms”) are a binding agreement between you and Sinta Health, LLC (“Sinta,” “we,” “us,” or “our”). By creating an account, enrolling in a program, affirmatively accepting these Terms, or otherwise accessing or using Sinta's websites, technology platform, portals, tools, or related services after being given access to these Terms (collectively, the “Services”), you agree to these Terms and any additional terms, policies, consents, or agreements applicable to the Services you use.
If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
1. Agreement and eligibility
You must be at least 18 years old and legally able to enter into this agreement to access or use the Services.
If you access or use the Services on behalf of a business, wellness organization, medical practice, fitness business, or other entity, you represent and warrant that you have authority to bind that entity to these Terms and any other applicable agreement with Sinta.
You are responsible for providing accurate, complete, and current information and for complying with the laws, regulations, professional requirements, and contractual obligations applicable to your use of the Services.
Certain Services may be subject to additional agreements, policies, consents, disclosures, order forms, or program-specific terms. If there is a conflict between these Terms and a more specific written agreement governing a particular Service, the more specific agreement will control with respect to that Service.
2. Definitions
For purposes of these Terms:
“Partner” means a business or organization that uses Sinta's platform to make supported wellness programs and services available to its clients. Partners may include wellness businesses, chiropractic practices, medical or aesthetic practices, fitness businesses, health coaches, and other eligible organizations.
“Partner Wellness Services” means nonclinical wellness services provided by a Partner within the Partner's training, credentials, lawful scope, and applicable law. Depending on the Partner, these services may include general wellness education, healthy-habit support, general nutritional education, fitness or wellness support, encouragement, accountability, progress tracking, regular check-ins, and similar nonclinical services.
“Partner Wellness Services Fee” means the amount established by a Partner for the Partner Wellness Services it provides.
“Healthcare Services” means medical, clinical, pharmacy, laboratory, and other healthcare-related services furnished by independent healthcare providers, pharmacies, laboratories, or other appropriately licensed or authorized third parties.
“Healthcare Services Costs” means the applicable costs associated with Healthcare Services and related fulfillment, which may include independent provider services, medication and pharmacy fulfillment, laboratory services, shipping, and other healthcare-related services.
“Total Consumer Price” means the combined amount presented to a consumer consisting of applicable Healthcare Services Costs and the Partner Wellness Services Fee.
“Independent Provider” means a licensed healthcare provider or provider organization that provides medical or clinical services independently from Sinta.
“Partner Settlement” means amounts collected on behalf of a Partner and payable to that Partner in connection with its Partner Wellness Services Fee, subject to applicable refunds, reversals, chargebacks, payment-processor requirements, adjustments, and other amounts authorized under these Terms or another applicable agreement.
“Platform Subscription” means the recurring fee charged by Sinta for access to Sinta's technology, administrative infrastructure, coordination tools, and related platform services.
3. Sinta's role
Sinta provides technology, administrative infrastructure, coordination tools, workflows, and related support that help connect Partners and consumers with independent healthcare services. Sinta may facilitate consumer intake, communications, payments, program access, pharmacy and laboratory workflows, and other administrative interactions among the parties involved.
Sinta is not a medical practice, pharmacy, laboratory, or healthcare provider. Sinta does not diagnose medical conditions, determine medical eligibility, select medications or dosages, prescribe or dispense medications, make clinical treatment decisions, or control an Independent Provider's professional judgment.
Sinta may make AI-assisted features available, including the Vitalis Lab Intelligence Engine, to organize information, identify patterns, and help generate draft insights or potential wellness-plan components. These tools provide informational and decision-support functions only; they do not independently diagnose, prescribe, determine eligibility, or replace the judgment of a licensed healthcare provider.
4. Partner role and Partner Wellness Services
Partners remain responsible for the Partner Wellness Services they provide and for ensuring that those services are appropriate for their business, training, credentials, licenses, lawful scope, and applicable law. Partner Wellness Services are separate from Healthcare Services.
Unless separately licensed and legally authorized, a Partner may not diagnose, determine medical eligibility, prescribe, select medication or dosage for clinical purposes, approve or alter treatment, represent that it made an Independent Provider's clinical decision, or otherwise perform activities reserved for licensed healthcare professionals.
Partners may not interfere with an Independent Provider's clinical judgment and remain responsible for the accuracy of their marketing and other representations and for complying with applicable advertising, consumer-protection, professional, privacy, and other laws.
5. Clinical services
Medical and clinical services accessible through the Services are furnished by Independent Providers and, where applicable, independent medical groups. Independent Providers are solely responsible for evaluation, eligibility, diagnosis where applicable, treatment, medication or formulation, dosage, prescribing, refills, clinical follow-up, and all other clinical decisions.
Selecting or paying for a program, treatment, medication, or other option does not guarantee qualification, approval, or a prescription. An Independent Provider may request additional information or testing, recommend an alternative, or decline treatment when it is not clinically appropriate.
AI-assisted tools may help organize information or draft a comprehensive plan that may include lifestyle changes, dietary recommendations, and supplements when appropriate. Any clinical interpretation or recommendation used in medical care must be reviewed and approved by an Independent Provider.
Prescription medications, when prescribed, are dispensed by independent licensed pharmacies. Laboratory testing, when applicable, is performed by independent laboratory providers.
Availability of specific programs, treatments, medications, formulations, pharmacies, laboratories, and providers may vary based on clinical requirements, licensing, geography, availability, applicable law, and other factors.
Use of telehealth services is also subject to the applicable Telehealth Informed Consent and other clinical notices or consents presented through the Services.
6. Accounts and acceptable use
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring through your account.
You may not misuse the Services, impersonate another person, submit false information, attempt unauthorized access, interfere with platform operations, introduce malicious code, use automated means to access or copy the Services without authorization, reverse engineer the Services where prohibited, or use the Services for an unlawful purpose.
You may not use the Services to make false or misleading claims regarding medical treatments, prescription approval, clinical outcomes, financial results, or the role of Sinta, a Partner, an Independent Provider, pharmacy, or laboratory.
You may not represent that selecting or paying for a program guarantees approval of a prescription or other medical treatment.
Sinta may suspend or terminate access where reasonably necessary to protect consumers, Partners, providers, Sinta, third parties, or the security and integrity of the Services.
7. Cash-pay services and pricing
The Services support cash-pay programs and services. Insurance coverage or reimbursement is not guaranteed unless expressly stated otherwise.
Where a Partner provides Partner Wellness Services in connection with a program, the Partner may establish a Partner Wellness Services Fee for those services.
Healthcare Services Costs are established separately from the Partner Wellness Services Fee and may include costs associated with Independent Provider services, medication and pharmacy fulfillment, laboratory services, shipping, and other applicable healthcare-related services.
The Total Consumer Price presented to a consumer may therefore consist of the applicable Healthcare Services Costs plus the Partner Wellness Services Fee.
The Partner Wellness Services Fee is compensation for Partner Wellness Services provided by the Partner. It is separate from Healthcare Services Costs and is not compensation for prescribing, referring a consumer for medical care, selecting a medication, determining medical eligibility, or making any other clinical decision.
Partners are responsible for establishing their Partner Wellness Services Fee in accordance with applicable law and for providing the Partner Wellness Services associated with that fee.
Healthcare Services Costs may vary based on the applicable program, treatment, provider, pharmacy, medication, formulation, laboratory service, geography, shipping or fulfillment requirements, and other factors.
The Total Consumer Price may therefore vary depending on the Healthcare Services selected or ultimately authorized and the Partner Wellness Services Fee established by the Partner.
Before a consumer authorizes payment, the applicable price and any material recurring-payment terms, including billing frequency and available cancellation information, will be presented through checkout, enrollment materials, an order form, or another applicable disclosure. Sinta or its designated payment processor will obtain the authorization required for the applicable transaction.
Selection of a program and payment do not guarantee medical eligibility, issuance of a prescription, or approval of any particular treatment.
7.1 Cash-pay only
Sinta operates exclusively on a cash-pay basis. Sinta does not and will not bill health insurance, submit insurance claims, or accept insurance reimbursement as payment for Services through the platform. This is Sinta's policy notwithstanding the general reference to insurance coverage or reimbursement above. Consumers are responsible for the amounts disclosed and authorized for their selected Services.
Use of an HSA or FSA payment method, or a request for related documentation, is separate from insurance billing. Sinta does not guarantee that any charge is eligible for HSA or FSA payment or reimbursement; eligibility and substantiation are subject to applicable rules and the account administrator's requirements.
8. Platform subscription
Partners pay Sinta the applicable Platform Subscription for access to Sinta's technology, administrative infrastructure, coordination tools, and related platform services.
Sinta's Platform Subscription is billed monthly and does not require a long-term contract. The applicable amount, billing frequency, and material subscription terms will be disclosed before enrollment authorization, in an order form, or through other applicable pricing materials.
A Partner may cancel according to the notice and cancellation procedures disclosed during enrollment or in the applicable agreement. Cancellation stops future renewals after the effective cancellation date but does not eliminate amounts already incurred, outstanding payment obligations, or other obligations that survive cancellation.
The Platform Subscription is separate from Healthcare Services Costs and the Partner Wellness Services Fee.
Unless otherwise stated in an applicable written agreement, the Platform Subscription is not calculated as a percentage of a Partner's Partner Wellness Services Fee or Partner Settlement.
Applicable taxes and other charges, if any, will be handled as disclosed in the applicable agreement or payment terms.
9. Consumer payments and limited payments agent
Sinta may facilitate the collection and processing of consumer payments through the Services using one or more third-party payment processors.
Where a Total Consumer Price includes both Healthcare Services Costs and a Partner Wellness Services Fee, Sinta or its designated payment processor may collect the combined Total Consumer Price through the Sinta platform and allocate the applicable amounts in accordance with the transaction.
To the extent Sinta or its designated payment processor receives amounts payable to a Partner as a Partner Wellness Services Fee, the Partner appoints Sinta as its limited payments agent solely for the purpose of accepting such amounts on the Partner's behalf and facilitating settlement of those amounts to the Partner.
Payment of the applicable Partner Wellness Services Fee by a consumer to Sinta or Sinta's designated payment processor will satisfy the consumer's payment obligation to the Partner for that amount as if the payment had been made directly to the Partner, subject to applicable refunds, reversals, chargebacks, disputes, and adjustments.
Sinta's role as limited payments agent is limited to payment collection and settlement functions described in these Terms and any applicable Partner agreement. It does not make Sinta the provider of Partner Wellness Services, does not transfer responsibility for Partner Wellness Services from the Partner to Sinta, and does not create a general agency, employment, partnership, joint venture, or franchise relationship between Sinta and the Partner.
The Partner remains solely responsible for providing the Partner Wellness Services associated with its Partner Wellness Services Fee.
Payment processing may be subject to additional terms, requirements, restrictions, and verification procedures imposed by Sinta's designated payment processors.
Partners must provide accurate and complete information reasonably required for payment processing, connected-account establishment, identity verification, tax reporting, fraud prevention, compliance, and settlement purposes.
Sinta may use payment-processing infrastructure, including connected payment accounts or similar functionality, to facilitate the collection, allocation, and settlement of payments under this Section.
9.1 Healthcare payment administration
Beluga Health, P.A. is responsible for all medical consultations arranged through the Services. Prescription fulfillment is provided by Beluga's approved pharmacy partners. The applicable dispensing pharmacy is responsible for dispensing prescribed medication.
The combined collection described above does not make Sinta the provider of medical care, the dispensing pharmacy, or the seller or reseller of prescription medication. The Independent Provider or applicable medical group provides the clinical services, the dispensing pharmacy supplies and dispenses prescribed medication, and the Partner provides its Partner Wellness Services.
Sinta separately records the applicable Healthcare Services Costs and Partner Wellness Services Fee. Under Sinta's provider and pharmacy arrangements, the participating medical group and pharmacy invoice Sinta for their respective services, and Sinta administers payment of those invoices under the applicable written agreements. Partner Wellness Services Fees are settled separately through connected payment accounts, subject to Section 10 and the applicable Partner agreement.
Checkout and transaction disclosures must identify the applicable charges, the responsible service parties, and the payment-support contact. Centralized collection does not give Sinta or a Partner authority to make or influence clinical decisions, and does not replace any applicable clinical consent or service agreement.
10. Partner settlements
Amounts collected on behalf of a Partner that are attributable to the Partner Wellness Services Fee will be recorded as amounts payable to the Partner and may be remitted through a Partner Settlement or Partner Transfer.
The amount of a Partner Settlement will generally correspond to the Partner Wellness Services Fees collected on the Partner's behalf, subject to any applicable refunds, reversals, disputes, chargebacks, processing adjustments, corrections, taxes, holds or reserves permitted under applicable agreements, and other authorized adjustments.
Healthcare Services Costs are separate from the Partner Wellness Services Fee and are not included in the Partner Settlement.
Sinta's Platform Subscription is separately charged to the Partner and, unless otherwise expressly provided in an applicable written agreement, is not calculated as a percentage of the Partner Wellness Services Fee or deducted as a transaction-level share of the Partner Wellness Services Fee.
Partner Settlements may be processed through Sinta's designated payment processor and are subject to applicable processing schedules, banking requirements, account-verification requirements, fraud-prevention procedures, processor rules, and other operational requirements.
Partners are responsible for maintaining accurate payment, banking, tax, and connected-account information and for promptly notifying Sinta of suspected settlement errors.
If an amount previously included in a Partner Settlement is subsequently refunded, reversed, disputed, charged back, determined to have been paid in error, or otherwise becomes subject to an adjustment, Sinta or its designated payment processor may deduct the applicable amount from a pending or future Partner Settlement or otherwise recover the amount from the Partner to the extent permitted by applicable law and the applicable agreement.
Sinta may delay or hold a Partner Settlement where reasonably necessary to investigate suspected fraud, payment disputes, account irregularities, compliance concerns, processor requirements, or other circumstances that reasonably affect the validity or processing of a transaction.
Partners are responsible for their own tax obligations arising from Partner Wellness Services and Partner Settlements except to the extent applicable law requires otherwise.
Nothing in the payment or settlement process gives the Partner authority over Independent Provider clinical decisions or conditions payment to a Partner on the prescribing of a particular medication or approval of a particular treatment.
11. Refunds, cancellations, reversals, and chargebacks
Refund and cancellation eligibility may depend on the applicable program, the services already performed, the status of medical review, laboratory services, pharmacy fulfillment, Partner Wellness Services already provided, and other applicable circumstances.
Because a Total Consumer Price may include both Healthcare Services Costs and a Partner Wellness Services Fee, different components of a transaction may be subject to different refund or cancellation treatment.
Amounts associated with services already performed, laboratory testing already completed or initiated, prescriptions already processed or fulfilled, medications already dispensed, shipping or fulfillment already performed, or Partner Wellness Services already provided may be nonrefundable to the extent permitted by applicable law and the applicable program terms.
If an Independent Provider determines that a consumer is not medically eligible for a requested treatment, any applicable refund will be determined based on the services performed, costs already incurred, Partner Wellness Services provided, and the applicable refund and cancellation policy.
A refund, reversal, dispute, or chargeback may result in a corresponding adjustment to a pending or completed Partner Settlement.
Questions about a Partner Wellness Services Fee are handled according to the Partner's applicable policies. Provider, laboratory, pharmacy, and other Healthcare Services charges are governed by the applicable program terms and the policies of the party that provided the service. Sinta can help direct consumers to the appropriate support channel.
Additional program-specific refund and cancellation terms may be presented during checkout, enrollment, or through another applicable agreement or disclosure.
11.1 Finding the applicable policy and requesting assistance
The refund and cancellation policy applicable to a program, including material restrictions and recurring-charge cancellation instructions, must be made available before payment authorization and accessible through the applicable enrollment or account materials. These Terms do not establish a single refund schedule for every program or guarantee a refund of every component of a combined charge.
To request payment, refund, or cancellation assistance, use the support method identified in your account, receipt, or program materials. You may also contact Sinta at (561) 475-1218 or through the Sinta contact page for routing to the responsible support team. Provide a transaction reference where available; do not submit medical records or other sensitive clinical information through a public contact form.
Medical questions, treatment decisions, and prescription inquiries must be directed to the applicable clinical team or dispensing pharmacy. A request sent to Sinta will be handled or routed under the applicable policy; the request alone does not establish refund eligibility or reverse a completed service. Nothing in this subsection limits a cancellation method or consumer right required by law.
12. Electronic communications
By using the Services and providing electronic contact information, you agree that Sinta and applicable service providers may send operational and transactional communications relating to your account, transactions, programs, care coordination, security, and use of the Services.
Electronic communications may include email, text messages, portal notifications, electronic notices, disclosures, agreements, and other communications permitted by applicable law. Message and data rates may apply to text messages.
You are responsible for maintaining accurate contact information.
Where required by law, consent to marketing communications will be requested separately and will not be a condition of purchasing Services. You may use the unsubscribe or opt-out instructions included in a communication, such as replying STOP to an eligible text-message program. Opting out of marketing does not prevent communications necessary to administer an account, complete a transaction, protect security, or provide requested Services.
12.1 Sinta Health SMS program
The Sinta Health messaging program is operated by Sinta Health, LLC. Depending on the consent you provide and the program in which you enroll, messages may include responses to inquiries, demo or appointment reminders, account and transaction updates, and support communications. Promotional messages are sent only with the marketing consent required by applicable law.
12.2 Consent and messaging preferences
Providing a telephone number or accepting these Terms alone does not constitute consent to receive marketing texts. Where required, marketing consent is requested separately from transactional messaging consent through an affirmative choice that is not preselected. Marketing consent is not a condition of purchase. Consent applies only to the sender, purpose, and program disclosed when it is obtained and is not automatically transferred to an independent Partner or healthcare provider.
12.3 Frequency, charges, and delivery
Message frequency varies according to your interactions, preferences, and the program. Message and data rates may apply. Delivery depends on your carrier and service availability; carriers are not liable for delayed or undelivered messages.
12.4 Opting out and getting help
Reply STOP to a Sinta text-message program to revoke consent to texts from that program. Sinta also honors other reasonable methods of revoking consent as required by applicable law; STOP is not the exclusive method. You may receive a nonpromotional confirmation of your request where permitted. You may request help by replying HELP, calling (561) 475-1218, or using the Sinta contact page.
The preceding reference to necessary account or service communications does not authorize Sinta to disregard a valid text-message consent revocation. Where appropriate and permitted, necessary communications may instead be delivered through another authorized channel, such as the portal or email. Any exception for further texts must have an applicable legal basis; acceptance of these Terms alone does not create one.
12.5 Mobile information and message privacy
Sinta does not sell or share mobile telephone numbers or SMS opt-in and consent information with third parties or affiliates for their own marketing or promotional use. Sinta may provide information to messaging service providers, carriers, and other processors as necessary to deliver messages on Sinta's behalf, subject to the Privacy Policy and applicable law.
Standard SMS is not a fully secure channel. Sinta limits sensitive information in text messages and directs users to an appropriate secure channel for clinical details. Consent to Sinta messages does not replace any separate consent required for communications from a Partner, Independent Provider, or pharmacy.
13. Privacy and health information
Use of personal information and health information through the Services is governed by Sinta's Privacy Policy, Consumer Health Data Privacy Policy, HIPAA & Provider Privacy Notices, authorizations, business associate agreements where applicable, and other applicable privacy documentation.
Access to health information may be limited according to a user's role, authorization, contractual relationship, applicable law, and the services the user is authorized to support.
Partners and other users may access only information they are authorized to receive and may use, disclose, download, copy, retain, or transfer health information only as permitted by applicable law, applicable agreements, and Sinta's policies.
Users are responsible for safeguarding account credentials and information accessible through their accounts.
14. Ownership and third-party services
Sinta owns or licenses the Services, including applicable software, platform functionality, content, branding, designs, workflows, and related intellectual property, except for content owned by Partners, users, or third parties.
The Services may contain links to, integrations with, or functionality provided by third parties, including Independent Providers, pharmacies, laboratories, payment processors, communications providers, technology vendors, and other service providers.
Those third parties may operate under their own terms, privacy policies, professional obligations, licenses, and legal requirements.
Sinta does not control the independent professional judgment of Independent Providers and is not responsible for acts or omissions of third parties outside Sinta's reasonable control, except to the extent responsibility cannot legally be excluded.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT AS EXPRESSLY PROVIDED OTHERWISE IN AN APPLICABLE WRITTEN AGREEMENT.
Sinta does not guarantee that any consumer will qualify for a particular treatment or prescription, that an Independent Provider will prescribe a requested medication, that any particular medication, formulation, provider, pharmacy, laboratory service, or program will remain available, or that use of the Services will produce a particular medical, wellness, business, or financial result.
Sinta does not guarantee Partner revenue, client participation, client retention, business performance, profitability, or health outcomes.
Healthcare outcomes depend on individual circumstances and the independent professional judgment of applicable healthcare providers.
AI-assisted features may produce incomplete, inaccurate, or inappropriate output and are provided only to support organization of information and human review. AI-assisted output is not a diagnosis, prescription, or substitute for professional medical judgment and should not be used as the sole basis for a clinical decision.
Business and financial results depend on numerous factors, including Partner pricing, Partner Wellness Services, demand, marketing, client participation, retention, operating expenses, and other circumstances.
Revenue estimates, examples, calculators, market information, and similar materials made available through the Services are illustrative only and do not constitute guarantees of actual financial performance.
16. Limitation of liability
To the maximum extent permitted by applicable law, Sinta and its officers, employees, affiliates, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Services.
To the extent permitted by applicable law, Sinta is not responsible for the independent medical judgment of Independent Providers, professional services provided by pharmacies or laboratories, Partner Wellness Services provided by Partners, or acts or omissions of third parties outside Sinta's reasonable control.
Nothing in these Terms limits rights or remedies that cannot legally be waived or limited.
If another written agreement between Sinta and a Partner contains different or additional limitation-of-liability provisions, that agreement will control to the extent applicable.
17. Indemnification
To the maximum extent permitted by applicable law, each Partner will defend, indemnify, and hold harmless Sinta and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable attorneys' fees to the extent arising from or relating to: (a) the Partner Wellness Services or other products or services provided by the Partner; (b) the Partner's advertising, marketing, communications, or representations; (c) the Partner's breach of these Terms or another applicable agreement; (d) the Partner's violation of law, professional requirements, or lawful scope; (e) the Partner's unauthorized access to, use of, or disclosure of personal or health information; or (f) the Partner's negligence, willful misconduct, or infringement of third-party rights.
The Partner will have no indemnification obligation to the extent a claim results from Sinta's gross negligence or willful misconduct. Sinta may participate in the defense with counsel of its choosing, and a Partner may not settle a claim in a manner that admits liability by or imposes obligations on Sinta without Sinta's prior written consent.
18. Termination
Sinta may suspend or terminate access to the Services as permitted by these Terms, an applicable agreement, or applicable law, including for misuse, nonpayment, security concerns, suspected fraud, violation of applicable law, or conduct that may create risk for consumers, Partners, providers, Sinta, or third parties.
A Partner may terminate its relationship with Sinta in accordance with the applicable agreement and cancellation terms.
Termination does not eliminate obligations arising before termination.
Following termination, pending transactions, Partner Settlements, refunds, reversals, chargebacks, Healthcare Services Costs, outstanding Platform Subscription amounts, and other payment obligations may continue to be processed, settled, recovered, or adjusted as permitted by the applicable agreements and applicable law.
Access to records or information following termination will be handled in accordance with applicable law, contractual obligations, privacy requirements, and Sinta's applicable policies.
Sections of these Terms that by their nature should survive termination will remain in effect following termination.
19. Governing law, venue, and class-action waiver
Unless a separate written agreement specifies otherwise, these Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
To the extent a dispute is not governed by a different venue or dispute-resolution provision in an applicable written agreement, the state and federal courts located in Palm Beach County, Florida, will have exclusive jurisdiction and venue, and each party consents to the personal jurisdiction of those courts.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SINTA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THIS WAIVER DOES NOT LIMIT ANY RIGHT OR REMEDY THAT CANNOT LAWFULLY BE WAIVED.
20. General terms
These Terms, together with applicable agreements, policies, consents, order forms, and incorporated documents, constitute the applicable agreement governing use of the Services.
Sinta may update these Terms from time to time. Material changes will be communicated or posted as required by applicable law. Continued use of the Services following the effective date of updated Terms constitutes acceptance where permitted by applicable law.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.
Failure by Sinta to enforce a provision of these Terms does not waive its right to enforce that provision later.
You may not assign your rights or obligations under these Terms without Sinta's prior written consent except where otherwise permitted by an applicable agreement or applicable law. Sinta may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction, subject to applicable law.
Nothing in these Terms creates an employment, partnership, joint venture, franchise, fiduciary, or general agency relationship between Sinta and a Partner. The only agency relationship created by these Terms is the limited payments agency expressly described in Section 9 for the limited purposes stated there.
